Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Canopy competitive intelligence platform ("Service") operated by Canopy ("we", "us", or "our") at yourcanopy.net. By creating an account or using the Service you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you agree to these Terms on behalf of that organization.

1. Account Terms

Registration

You must provide accurate and complete information when creating an account and keep it up to date. You must be at least 18 years old and capable of forming a binding contract to use the Service.

Account security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at support@yourcanopy.net if you suspect unauthorized use of your account. We are not liable for any loss resulting from unauthorized account access due to your failure to maintain credential security.

One account per person

Each account is for a single person or organization. You may invite team members to your workspace using our multi-user invite feature. Creating multiple accounts to circumvent plan limits is prohibited.

2. Subscriptions and Payment

Plans and billing

Canopy offers a free tier and paid subscription plans (Starter, Agency, Scale) billed monthly or annually. Paid plan fees are charged in advance at the beginning of each billing period. All prices are listed on our pricing page and are in US dollars unless otherwise stated.

Payment processing

All payments are processed by Stripe, Inc. By providing payment information you authorize us to charge your payment method on a recurring basis for the fees applicable to your selected plan. Your payment information is subject to Stripe's Privacy Policy. We do not store your full payment card number on our servers.

Upgrades and downgrades

You may upgrade your plan at any time; the new rate will apply immediately and your next invoice will be prorated. Downgrades take effect at the end of the current billing period.

Refunds

Subscription fees are non-refundable except where required by applicable law. If you cancel mid-period, your access continues until the end of the paid period. We may, at our sole discretion, issue credits or refunds in exceptional circumstances.

EU/UK consumers — 14-day withdrawal right. If you reside in the EU or UK and you are subscribing as a consumer (not on behalf of a business), you have the right to withdraw from your subscription within 14 days of purchase under the Distance Selling Directive (2011/83/EU) and equivalent UK regulations. To exercise this right, contact support@yourcanopy.net within the 14-day window. Once you have begun using the Service materially (e.g., running scans, generating briefings), you waive this right with respect to the portion of the Service already consumed.

Late payment and suspension

If a payment fails, we will attempt to charge the payment method again. If payment remains outstanding after 7 days, we may suspend or downgrade your account to the free tier until the balance is settled.

3. Acceptable Use Policy

You agree to use the Service only for lawful business purposes. The following are expressly prohibited:

  • Scraping, crawling, or otherwise extracting data from the Service beyond what is provided by our API or UI for your own account.
  • Using the Service to monitor individuals for personal surveillance, stalking, or harassment.
  • Attempting to gain unauthorized access to any part of the Service, its underlying infrastructure, or other users' accounts.
  • Transmitting malware, viruses, or any code designed to interfere with the Service.
  • Reselling, sublicensing, or white-labeling access to the Service without our written permission (except as expressly provided in Scale-tier white-label features).
  • Using the Service to violate any applicable law, including data protection laws, export control regulations, or intellectual property rights of third parties.
  • Generating or distributing AI-generated content from Canopy in a manner that is deceptive, defamatory, or designed to mislead consumers about competitors.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that breach this policy, with or without prior notice.

4. Intellectual Property

Our IP

The Service, including its software, design, trademarks, logos, and all AI-generated analysis algorithms, is owned by Canopy and protected by intellectual property laws. These Terms do not grant you any ownership interest in the Service. You are granted a limited, non-exclusive, non-transferable license to use the Service during the term of your subscription.

Your content and data

You retain ownership of competitor lists, workspace configurations, and any custom content you input into the Service. You grant us a limited license to process that data solely to provide the Service to you.

AI-generated outputs

Briefings, battlecards, and other AI-generated analysis outputs delivered to you through the Service may be used by you for your internal business purposes and client deliverables. We make no warranties regarding the accuracy or completeness of AI-generated content and you are responsible for independently verifying any material claims before relying on them.

Third-party trademarks

Any references within the Service to third-party trademarks, brand names, or product names of competitors are made solely under the doctrine of nominative fair use to identify those competitors for comparative analysis purposes. Canopy claims no affiliation with, sponsorship by, or endorsement by any such third parties, and all referenced trademarks remain the exclusive property of their respective owners.

5. Third-Party Content

The Service monitors and displays publicly available information from third-party websites, review platforms, job boards, and news sources. This content is owned by its respective publishers. We do not claim ownership over such content and do not guarantee its accuracy, legality, or continued availability. Your use of third-party content accessed through the Service is at your own risk and subject to the terms of the originating source.

6. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR THAT AI-GENERATED ANALYSIS WILL BE ACCURATE, COMPLETE, OR ACTIONABLE.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CANOPY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER THESE TERMS OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless Canopy, its officers, employees, and agents from and against any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party rights; or (c) any content or data you submit to the Service.

9. Termination

By you

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. Deleting your account terminates these Terms and initiates our data deletion process as described in the Privacy Policy.

By us

We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have materially breached these Terms, engaged in fraudulent or illegal activity, or if continued access would cause harm to the Service or other users. We may also terminate or discontinue the Service at any time with 30 days' notice.

Effect of termination

Upon termination, your right to access the Service ends immediately. Sections that by their nature should survive termination (including IP ownership, disclaimers, limitation of liability, and governing law) will remain in effect.

10. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service that cannot be resolved informally will be submitted to binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English, with the arbitration seated in Delaware.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm. You agree to resolve disputes individually and waive any right to participate in a class action lawsuit or class-wide arbitration.

11. Changes to These Terms

We may modify these Terms at any time. When we make material changes we will notify you by email or via an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms you must stop using the Service and cancel your subscription before the effective date.

12. General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any additional plan-specific terms, constitute the entire agreement between you and Canopy with respect to the Service.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
